Please read these Terms carefully. By creating an account, checking the agreement box, or using TradLoop, you agree to be bound by these Terms, the Privacy Policy, and the Risk Disclosure. If you do not agree, do not use TradLoop.

SECTION 01

Acceptance of Terms

These Terms & Conditions form a binding agreement between you and TradLoop (operated by Ali Alkhafaji (to become TradLoop LLC); “TradLoop,” “we,” “us”). They govern your access to and use of the TradLoop website and all related software and services (the “Service”). By using the Service you confirm you have read, understood, and accepted these Terms, the Privacy Policy, and the Risk Disclosure, which are incorporated by reference.

SECTION 02

Definitions

TradLoop,” “we,” “us,” “our” means the operator of the Service. “Service” means the TradLoop trading-practice, journaling, and AI-assisted review platform. “User,” “you,” “your” means the individual who accesses or uses the Service. “Subscription” means a paid plan. “Free Tier” means the no-cost access level. “User Content” means anything you input or upload, including trades, journal entries, screenshots, files, session state, and preferences.

SECTION 03

Eligibility

You must be at least 18 years old, a resident of the United States, legally able to form a binding contract, and not barred from using the Service under any applicable law. The Service is offered only to United States residents. Residents of the European Union, European Economic Area, and United Kingdom may not use the Service; access from those jurisdictions is restricted at registration and, when billing is introduced, payment.

SECTION 04

Sanctions and Export Control

You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government restricted-party list, including the OFAC Specially Designated Nationals list, the Denied Persons List, or the Entity List. You agree not to use, export, or re-export the Service in violation of U.S. export-control laws, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR). We may suspend or terminate access immediately if continued provision of the Service would violate applicable sanctions or export-control law.

SECTION 05

Description of the Service

TradLoop is an educational and practice tool for testing trading strategies, journaling, replaying historical market data, and receiving AI-assisted review. TradLoop is not a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, or any other regulated financial entity, and is not registered with the SEC, FINRA, NFA, CFTC, or any regulator. The Service does not execute real trades and does not connect to live brokerage accounts. Nothing in the Service is financial, investment, tax, legal, or trading advice.

SECTION 06

Subscriptions and Pricing

TradLoop currently offers a Free Tier. Paid Subscriptions are planned but not yet available for purchase. Pricing, taxes, billing cadence, and plan details will be presented before any paid Subscription becomes available. We will not charge you unless you choose a paid plan through the checkout flow when billing is introduced.

SECTION 07

Free Tier

The Free Tier is the currently available offering and lets you evaluate the Service at no cost. We may modify, limit, or discontinue the Free Tier at any time.

SECTION 08

Automatic Renewal: California Disclosure

Automatic renewal does not currently apply because paid Subscriptions are not yet available. If we introduce paid Subscriptions with automatic renewal, we will present the renewal terms, cancellation steps, renewal reminders, and required consent before purchase.

SECTION 09

Non-Refundable Policy

No paid fees are currently charged because paid Subscriptions are not yet available. Refund terms for future paid Subscriptions will be disclosed before purchase. The Free Tier is available so you may evaluate the Service at no cost before any paid plan is introduced.

ATTORNEY REVIEWPressure-test enforceability of future refund terms against California consumer-protection statutes, the Rosenthal Act, and FTC ROSCA before paid plans launch.

SECTION 10

Acceptable Use

You agree not to: scrape, crawl, or use automated means to access the Service; resell or sublicense access; use the Service to operate a signal, advisory, or copy-trading service for third parties; reverse engineer or build a competing product; introduce malware; attempt unauthorized access; or use the Service unlawfully or in a way that burdens or harms it or other users.

SECTION 11

User Content

You retain ownership of your User Content. You grant TradLoop a non-exclusive, worldwide license to host, process, and display your User Content solely to operate and improve the Service, including creating de-identified, aggregated data to improve features. We do not sell your User Content to third parties. You are responsible for your User Content and may remove it; we may remove content that violates these Terms.

SECTION 12

AI Features and Third-Party AI Providers

TradLoop uses third-party AI services, including Anthropic (Claude), to power features such as AI Mentor and Journal Import. When you use AI features, your inputs (including text and uploaded files) are transmitted to and processed by those providers under their own terms and privacy policies. AI output is generated probabilistically, may contain errors, omissions, or fabrications, and is not financial advice. You must independently verify any AI output before relying on it. We make no warranty regarding AI output and are not liable for decisions you make based on it.

SECTION 13

Prop Firm Simulator Disclaimer

The Prop Firm Simulator practices against rule sets modeled after publicly known proprietary trading firm evaluation programs (including but not limited to FTMO, FundedNext, Topstep, Apex Trader Funding, and The Funded Trader). TradLoop is not affiliated with, endorsed by, sponsored by, or in partnership with any proprietary trading firm. The simulated rule sets are approximations for practice and may not match a firm’s current rules. Always verify a firm’s current rules directly with the firm before purchasing or relying on any evaluation. Passing the simulator does not guarantee passing any real evaluation.

SECTION 14

Market Data

Market data is obtained from third-party sources and may be delayed, incomplete, or inaccurate. It is provided for practice and educational use only, without warranty. You may not redistribute or commercially exploit market data accessed through the Service.

SECTION 15

Intellectual Property

TradLoop owns all rights in the Service, including its software, design, written content, and AI prompts. You receive a limited, personal, non-transferable, revocable license to use the Service for your own practice and education. You may not extract, copy, or commercialize any part of the Service.

SECTION 16

DMCA / Copyright Complaints

We respond to valid notices of claimed copyright infringement under the DMCA and terminate repeat infringers in appropriate circumstances. Send notices to legal@[BRAND_DOMAIN].com with the information the DMCA requires.

SECTION 17

Account Registration and Security

You must provide accurate registration information, keep your password secure, and maintain one account per person. You are responsible for activity under your account. We may suspend or terminate accounts at our discretion for violations of these Terms.

SECTION 18

No Advice / No Guarantees

TradLoop is an educational and practice tool. TradLoop does not provide financial, investment, tax, legal, or trading advice. Practice results, simulated trades, AI-generated content, and Prop Firm Simulator outcomes do not predict, guarantee, or imply future live-trading results. Trading any financial instrument carries substantial risk of loss; you can lose more than the amount you invest. You are solely responsible for your trading decisions. Consult a licensed professional before making investment decisions.

SECTION 19

“As Is” Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation, to the maximum extent permitted by law.

SECTION 20

Limitation of Liability

To the maximum extent permitted by law, TradLoop and its operator(s), contractors, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or trading opportunities, even if advised of the possibility. Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total amount you paid to TradLoop in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow these limits; there, our liability is limited to the maximum extent permitted.

ATTORNEY REVIEWConfirm enforceability of the liability cap structure and the $100 floor under California unconscionability doctrine, including for Free Tier (zero-paid) users.

SECTION 21

Indemnification

You agree to indemnify, defend, and hold harmless TradLoop and its operator(s), contractors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your use of the Service, (b) your User Content, (c) your breach of these Terms or violation of law, (d) your violation of any third-party right, and (e) your trading or investment decisions and their outcomes.

SECTION 22

Termination

You may cancel at any time. We may suspend or terminate your access at our discretion, including for breach. Sections that by their nature should survive termination (including Definitions, IP, disclaimers, limitation of liability, indemnification, dispute resolution, and limitations period) survive.

SECTION 23

Dispute Resolution: Binding Arbitration and Class Waiver

Please read: this section affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Los Angeles County, California (or remotely if the arbitrator allows). You and TradLoop each waive the right to trial by jury and the right to bring or participate in any class, collective, or representative action. The arbitrator has exclusive authority to decide all issues, except a court may issue injunctive relief to protect intellectual property. Small-claims court remains available for qualifying claims.

30-day opt-out. You may opt out of this arbitration agreement within 30 days of first creating your account by emailing legal@[BRAND_DOMAIN].com with the subject line “Arbitration Opt-Out” and your account email. Opting out will not affect any other provision of these Terms.

ATTORNEY REVIEWDraft (do not rubber-stamp): venue (LA County), mass-arbitration fee exposure under AAA Consumer Rules (informal-resolution prerequisite, batching, fee-shifting), and enforceability of class waiver + arbitration under current California authority (McGill, Iskanian and successors); 30-day opt-out as an unconscionability defense.

SECTION 24

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. For any matter not subject to arbitration, venue lies in the state and federal courts located in Los Angeles County, California, and you consent to that jurisdiction.

SECTION 25

Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, epidemics or pandemics, civil unrest, utility or internet failures, or third-party service failures.

SECTION 26

Changes to Terms

We may update these Terms. For routine changes, we will post the updated Terms and update the “Last Updated” date; continued use after a non-material change constitutes acceptance. For material changes to the arbitration provision, we will require your affirmative re-acceptance: you will be shown an in-app notice until you click “I agree,” and we will record the timestamp, the version accepted, and basic technical metadata. If billing is introduced, material changes to fees will be presented before they apply. We will not apply material arbitration or fee changes retroactively to a dispute that arose before the change.

ATTORNEY REVIEWConfirm the re-acceptance modal and any future cancellation flow comply with California subscription law, FTC ROSCA, and “Click-to-Cancel”; confirm captured metadata is appropriate and disclosed in the Privacy Policy.

SECTION 27

Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision will be enforced to the maximum extent permitted.

SECTION 28

Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure, are the entire agreement between you and TradLoop regarding the Service and supersede prior understandings.

SECTION 29

Limitations Period

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action accrues, or it is permanently barred, to the maximum extent permitted by California law.

ATTORNEY REVIEWConfirm a one-year contractual limitations period is enforceable in California for the claim types at issue (some claims may not be shortened).
